This document is a legally binding agreement between you and Terlici Ltd. It governs your use of all Terlici’s online services including www.terlici.com

By using the www.terlici.com web site, or any other service by Terlici, you agree to be bound by the following terms and conditions.

General Conditions

You must read, agree with and accept all of the terms and conditions contained in this terms & conditions before you may access www.terlici.com or any other service by Terlici Ltd.

• Terlici reserves the right to modify or terminate any of its services for any reason, without notice at any time.
• Terlici reserves the right to refuse service to anyone for any reason at any time.
• Terlici does not warrant that its service will be uninterrupted, timely, secure, or error-free.
• Terlici does not warrant that the results that may be obtained from the use of its services will be accurate or reliable.
• Terlici does not warrant that its services will meet your specific requirements.
• Terlici does not warrant that any errors in its services will be corrected.
• Terlici uses third party vendors and partners to provide the necessary hardware, software, and related technologies required to run its services.
• Terlici may, but has no obligation to, remove content that Terlici determines, in its sole discretion, as unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or content that violates any party’s intellectual property or these terms and conditions.
• You retain ownership over all content that you submit to any of Terlici’s services.
• Your content (not including credit card information), may be transferred unencrypted.
• Your content maybe transmitted over various networks.
• Your content maybe changed to conform and adapt to technical requirements of connecting networks or devices.
• Credit card information is always encrypted during transfer over networks.
• The failure of Terlici Ltd. to exercise or enforce any right or provision of the terms and conditions shall not constitute a waiver of such right or provision.
• You agree to use services by Terlici at your own risk. They are provided on an “as is” and “as available” basis without any warranty or condition, express, implied or statutory.

You expressly understand and agree that in no event shall Terlici Ltd, its affiliates, officers, directors and employees be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Terlici has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.

Verbal, physical, written or other abuse, including threats of abuse, of any Terlici customer, employee, member, or officer will result in the immediate suspension of your access to www.terlici.com and any other services by Terlici Ltd.

Account terms

Some services by Terlici Ltd may require an account registration. In those cases, the following additional terms and conditions apply.

• You must be 18 years or older to use these services.
• You must provide your full name, a valid email address, and any other information requested in order to complete the signup process.
• A single username and password (“login”) may only be used by one person.
• You are responsible for keeping your password secure.
• Terlici cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password.
• You are responsible for all activity and content that is uploaded under your account.
• You must not upload, post, host, or transmit unsolicited email, SMS, Instant Messenger, Twitter or “spam” messages.
• You must not transmit any worms or viruses or any code of a destructive nature.
• You may not use services by Terlici for any illegal or unauthorized purpose.
• You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of services by Terlici, use of services by Terlici, or access of services by Terlici without the express written permission by Terlici.
• A breach or violation of any of these terms will result in an immediate termination of your access to services by Terlici.
• You are solely responsible for properly canceling your account.
• An email or phone request to cancel your account is not considered cancellation.
• Your cancellation will take effect immediately and you will not be charged again. However, no refunds will be issued for any previous charges, in whole or in part.
• All of your content will be immediately deleted after cancellation. This is irreversible.
• Terlici reserves the right to modify or terminate your Service for any reason, without notice at any time.

Payment of fees, refunds, upgrading, downgrading and modifications

Some services by Terlici Ltd may require payment and/or regular subscription. In those cases, the following additional terms and conditions apply.

Services by Terlici are billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.

An upgrade from a free plan to any paid plan will immediately bill you.

An upgrade or downgrade made during the free trial period will not affect the trial period.

If you add a payment method to your account, we will bill you according to the plan the account is set to at the end of the free trial period.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only European Union taxes.

For any upgrade or downgrade in plan level outside of the trial period, the credit card that you provided will automatically be charged the new rate on your next billing cycle.

Downgrading your plan may cause the loss of content and/or features. Terlici does not accept any liability for such loss.

Prices of all services by Terlici, including but not limited to monthly subscription plan fees, are subject to change upon 30 days notice from Terlici. Such notice may be provided at any time by posting the changes to the respective site of the service or to the service itself.

Terlici shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of its services.

Severability

Should for any reason or to any extent any provision of these terms and conditions be held invalid or unenforceable, such invalidity or enforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of these terms and conditions and the application of that provision shall be enforced to the extent permitted by law.

Governing Law and Disputes

These terms and conditions shall be governed and construed in accordance with the substantive laws of the European Union. Any dispute, controversy or claim arising out of or in connection with these terms and conditions will be subject to the jurisdiction of the courts of Bulgaria and the European Union.

Violation

Violation of any of these the terms and conditions will result in the suspension of your access to www.terlici.com and any other services by Terlici Ltd.

Changes to the terms & conditions

Terlici Ltd. reserves the right to update and change the terms & conditions when it deems appropriate without notice and at its sole discretion.

Any new features added to the current services shall be also subject to these terms and conditions. Continued use of the our services after any such changes shall constitute your consent to such changes.
